As a requirement by ASIC and as defined by the Corporations Act 2001, only sophisticated Investors are permitted to take up offers of securities from businesses presented at a pitch event, Angel Meeting, or presented in a newsletter. It is a requirement of the host/issuer of the meeting/newsletter to ensure all that may take up the offer of securities have been assessed as being sophisticated. Angel Loop has established the QEI process to ensure all members of our Angel network community are recognised as sophisticated Investors BEFORE they are permitted to take up any offer from a startup business.
The QEI process supports two routes of assessment as sophisticated.
1. Wealth (ss.708(8)) where the applicant must present a certificate from their accountant or
2. Experience or Education (ss.708(10)) where the applicant must present a pre-approved education course completion certificate. Approved courses are listed here.
Angel Loop recommends investing through a Nominee Service to support the entrepreneur by reducing compliance costs and giving the company the best chance to raise follow-on capital.
NOTE: To be eligible you must supply a certificate attesting your qualification under either 1 or 2 above to complete the application. Where the applicant applies under 2 above, the investor it only permitted to invest via the Angel Loop Nominee Service to comply with the Corporations Act.
